Job Title: Lead Legal Counsel (Nawah)
Job Purpose
To lead and direct Emirates Nuclear Energy Corporation’s (ENEC’s) legal function responsible for the legal advisory and oversight of transaction, contract and governance aspects of ENEC’s program and projects, including to ensure that ENEC complies with all relevant legal and contractual requirements.
Key Activities, Responsibility & Accountability
Responsibilities and Accountabilities:
• Support ENEC program and projects and provide tailored legal advice across a diverse range of project development, financing and corporate matters.
• Lead in providing and rendering high quality and commercially focused legal advice and recommendations to internal stakeholders in diverse matters which could include transaction structuring, project agreements, financial institutions loan documentation, related security documentation, power purchase agreements, property leasing/purchase agreements, site access agreements, environmental agreements, fuel supply, operation and maintenance, joint ventures, project finance, tax and litigation matters to resolve the legal issues
• Provide strategic legal advice to the Legal Director Corporate Governance and Financing on complex and sensitive matters including legal implications of strategic projects, investments and joint ventures in order to protect ENEC’s interests and minimize risk.
• Provide feedback and advice to the Legal Director Corporate Governance and Financing regarding ENEC’s legal compliance and any material and significant internal and external identified risk and make recommendations on mitigating actions.
• Review contractual agreements and correspondence to reduce ENEC’s liability and protect ENEC’s interests.
• Oversee the litigation process and manage cases in behalf of the Legal Director Corporate Governance and Financing.Strategic Planning

• Provide input into the development of the strategic plan for the legal division to ensure alignment with ENEC’s vision, mission and strategic goals under ENEC’s business mode.

• Develop the project and governance framework for ENEC projects and initiatives (both domestic and international)
• Support and contribute to transaction structuring that aim to find the appropriate balance of achieving the business objectives whilst minimizing ENEC’s exposure to legal risk.Health and Safety, Security, and Business Continuity

Professional Certifications
Qualifications
• Law degree ,and admitted as an attorney in the US, UK, Canada, UAE or similar jurisdiction.

Experience
6 to 7 years of relevant experience.
Pref -
• 7-10 years of legal experience with at least 3 years as a senior member of a corporate legal staff or as a senior attorney in a law firm
• Understanding of the economics and debt/capital markets financing of electric power and working knowledge of the legal and commercial issues involved in PPA’s (Power Purchase Agreements), Site Leases, EPC (Engineering, Procurement and Construction) contracts, project finance, O&M (Operations and Maintenance) agreements, and other relevant power project agreements.
